The following terms and conditions govern the relationship between you (hereafter referred to as “I” or “me” or “myself”), your employer abroad (hereafter referred to as “the contracting organization”), and L2 Excel Incorporated (hereafter referred to as “L2 Excel”). Please read these terms and conditions carefully before accepting to work with L2 Excel.

------------------------------------------------------------------------------------------------------------ I, [FULL NAME], in consideration of the assistance provided by L2 Excel to seek an opportunity to teach English abroad with a contracting organization (hereafter referred to as “the Activity”), I hereby agree and certify as follows:

I understand that I am responsible for (1) obtaining passports, appropriate visas, and other personal documentation that is required for my participation in the Activity; (2) arranging my own transportation and accommodations necessary to participate in the Activity; and (3) paying all costs and expenses related to my participation in the Activity.

I understand that L2 Excel is responsible only for facilitating an introduction for me with a contracting organization to teach English abroad. I understand that L2 Excel is not responsible for arranging transportation or accommodations or otherwise reimbursing me for any expenses I may incur in connection with the Activity. I understand that although the contracting organization may at times offer or provide me certain services and products, L2 Excel is neither responsible for such services or products nor liable for acts, omissions, products, or services of the contracting organizations or other entities in connection with the Activity.

I understand that although L2 Excel will exercise due diligence in facilitating an introduction for me to teach for a contracting organization abroad, this Agreement for representation by L2 Excel does not constitute a guarantee that I will gain employment with a contracting organization abroad.

I understand that while L2 Excel will be available to provide reasonable guidance if I am employed to teach abroad, any contract to teach abroad is solely between me and the contracting organization. L2 Excel is not liable or otherwise responsible for a breach of contract by either party that results in a termination of my employment for any reason, including but not limited to school closure, bankruptcy of the contracting organization, or act of God. I understand that if I am terminated for any reason, L2 Excel is not in any way liable to me, obligated to intervene in any dispute with the contracting organization, or responsible for finding me a teaching opportunity with another contracting organization.

I understand and fully assume all risks to my person and property in connection with my participation in the Activity, including but not limited to, travel delays, property damage and loss, bodily injuries, illness, disease, and death. I certify that I am in sufficient physical and mental health and that I do not have any physical or mental conditions which could adversely affect my ability to participate in the Activity. I also certify that I have medical insurance coverage appropriate for my participation in the Activity until such insurance, if any, is provided by a contracting organization. I understand that L2 Excel does not offer and is not responsible for providing any insurance for me in connection with my participation in the Activity.

I certify that I will comply with all applicable laws of any jurisdiction in which I may travel or reside, including laws governing controlled substances, while participating in the Activity. If the contracting organization determines that my participation in the Activity is at any time deemed detrimental to the contracting organization, its students, or other participants, I understand that I may be expelled from the Activity without incurring any liability on the part of L2 Excel.

I nevertheless understand that I may be liable to L2 Excel under this Agreement if I cause damage to L2 Excel by engaging in illegal or otherwise prohibited acts abroad, breaching my contract with the contracting organization, or entering into a contract with the contracting organization in bad faith.

I fully and forever release, waive and discharge, and promise not to sue L2 Excel, its trustees, employees, and representatives from and for any and all demands, claims, actions, suits, damages, losses, liabilities, costs and expenses (including, but not limited to, court costs and attorneys' fees), from any cause whatsoever (including, but not limited to, travel delays, property damage and loss, bodily injuries, sickness, disease and death), directly or indirectly arising in connection with my participation in the Activity, whether or not foreseeable or contributed to by the negligent acts or omissions of L2 Excel.

I authorize L2 Excel to collect personal information, such as my name, username, email address, address, work history, academic history and other aspects of non-financial personal information for the purposes of determining eligibility to teach overseas. I authorize L2 Excel to use this information to present me to client schools and to their preferred travel agent for the purpose of facilitating my employment and arranging travel. I authorize L2 Excel to use my personal information to offer customized Internet features, an email newsletter, and special placements offers by email. I authorize L2 Excel to contact the universities I attended to establish proof of my academic record and to disclose to those institutions my relationship with L2 Excel.

Resumes, cover letters, or pictures sent to L2 Excel will be used for the purposes of introducing you to a potential employer.

I understand that any feedback I provide to L2 Excel, such as questions, comments, suggestions, or the like regarding the content of any such documents, shall be deemed to be non-confidential. L2 Excel shall have no obligation to keep such information confidential and shall be free to reproduce, use, disclose, exhibit, display, transform, create derivative works and distribute such information to others without limitation. Further, L2 Excel shall be free to use any ideas, concepts, know-how or techniques contained in any feedback I provide for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products or services.

This written Agreement constitutes the entire agreement governing the relationship between me and L2 Excel and supersedes any prior or contemporaneous oral agreements, understandings, and negotiations between myself and L2 Excel. This Agreement may not be amended, by course of conduct or otherwise, and may not be assigned in whole or in part, except in writing duly executed by both L2 Excel and me. This Agreement shall be interpreted and enforced in accordance with the laws of the State of California, without regard to any conflicts or choice of law principles, and shall be as broad and inclusive as permitted by such laws. If any provision of this Agreement is held unenforceable by a court, such unenforceability shall not affect any other provision, and this Agreement shall be construed as if such provision, to the extent of such unenforceability, had not been incorporated herein.
